By accessing and using Synqer.ai services ("Services"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree to these Terms, please do not use our Services.

2. Service Description

Synqer.ai provides intelligent automation solutions for municipalities and organizations, including:

• Workflow automation
• Data processing and analytics
• Automated report generation
• System integration
• Training and technical support

3. Project Workflow & Security

All development and deployment occurs in secure environments separate from this website. Our workflow includes:

• Initial discovery call booked through website (30 minutes)
• Separate proposal and agreement for custom development
• Development and deployment in secure client-controlled environment
• Full ownership and access transfer to client upon project completion

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any laws or regulations
• Infringe intellectual property rights
• Upload malicious or harmful content
• Attempt unauthorized access to systems
• Interfere with Service operations
• Use Services for competitive purposes

5. Intellectual Property

All content, features, and functionality of the Services, including text, graphics, logos, icons, images, and code, are the exclusive property of Synqer.ai or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6. License Grant

Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes.

7. User Content

You retain ownership of content you upload to the Services. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use your content as necessary to provide the Services.

You represent and warrant that you have all necessary rights to your content and that your use does not infringe third-party rights.

8. Payment and Pricing

Payment terms for Services will be set forth in a separate agreement or quote. All prices:

• Exclude applicable taxes
• Are payable according to agreed payment terms
• Are non-refundable unless otherwise stated

9. Confidentiality

Both parties agree to maintain the confidentiality of all confidential information received from the other party and to use it only for purposes of performing their obligations under these Terms.

10. Limitation of Liability

To the maximum extent permitted by law:

• Services are provided "as is" without warranties of any kind
• We are not liable for indirect, special, or consequential damages
• Our total liability is limited to amounts actually paid for Services

11. Indemnification

You agree to indemnify and defend Synqer.ai, its employees, and partners from any claims, damages, losses, or expenses arising from your breach of these Terms or misuse of the Services.

12. Termination

We may suspend or terminate your access to Services:

• For breach of these Terms
• For non-payment
• For legal or regulatory reasons
• With 30 days notice for any reason

13. Data Protection

We process personal data in accordance with our Privacy Policy and all applicable data protection laws, including GDPR and Israeli Privacy Protection Laws.

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, or communication disruptions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or notice in the Services. Continued use of Services after such changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by the laws of the State of Israel. Any disputes arising from these Terms shall be resolved in the competent courts of Tel Aviv-Jaffa.

17. General Provisions

• These Terms constitute the entire agreement between parties
• If any provision is found unlawful, remaining provisions remain valid
• Non-enforcement of any right does not constitute waiver
• You may not assign your rights without our written consent
